1. Definitions
In these Terms and Conditions:
- "Sundara" refers to the advisory practice operating under that name, based at Jalan P. Ramlee 17, 50250 Kuala Lumpur, Malaysia.
- "Client" means any individual or entity that engages Sundara for advisory services.
- "Services" means the advisory engagements offered by Sundara, as described on this website.
- "Agreement" means the written scope document signed by both parties before an engagement begins.
- "Website" refers to the pages accessible at the domain associated with this site.
- "You" / "User" refers to any visitor to the website or client engaging the services.
2. Acceptance of Terms
By using this website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, you should not use the website or proceed with an engagement. Engagement of services requires you to be at least 18 years of age and to have the legal capacity to enter a binding agreement.
3. Service Description
Sundara provides business advisory and operational consulting services in the areas of succession planning for family businesses, decision architecture review, and leadership facilitation. Services are described on the Solutions page of this website. Sundara does not provide legal, financial, medical, or regulatory advice. Engagements do not constitute the provision of licensed professional services in any regulated discipline.
Services are available primarily to clients based in Malaysia, with on-site work conducted in the Klang Valley. Remote or outstation arrangements are subject to separate discussion.
4. Engagement Agreement
Each service engagement is governed by a written scope document prepared by Sundara and signed by the client prior to commencement. The scope document sets out the deliverable, timeline, fee, and any specific conditions. These Terms and Conditions apply to all engagements in addition to the signed scope document. In the event of a conflict, the scope document prevails for the specific engagement.
5. User Responsibilities
Clients are responsible for providing accurate information during scoping and fieldwork, making themselves and relevant staff available within agreed timelines, and reviewing and using deliverables responsibly. You agree not to use Sundara's deliverables in a manner that misrepresents their content or purpose, or to represent Sundara's advisory outputs as the work of another party.
Website users agree not to attempt to disrupt or compromise the website, to submit false information through contact forms, or to use the website for any unlawful purpose.
6. Intellectual Property
Sundara retains ownership of its methodologies, templates, and general frameworks. Upon full payment, clients receive a non-exclusive, non-transferable licence to use deliverables produced for their engagement for internal business purposes. Deliverables may not be published, sublicensed, or used for commercial redistribution without written consent from Sundara.

7. Payment Terms
Fees are stated in Malaysian Ringgit (RM) and are inclusive of all work described in the scope document unless explicitly stated otherwise. Payment terms are set out in each scope document, typically requiring a deposit before work begins and the balance upon delivery. Accepted payment methods include bank transfer and cheque. Sundara does not accept cash payments for engagements.
Late payment may result in work being paused until payment is received. Sundara does not charge interest on late payments unless specified in the scope document.
8. Cancellation and Refund Policy
If a client cancels an engagement before fieldwork begins, the deposit is non-refundable. If Sundara cancels due to circumstances within its control, the deposit will be refunded in full. Once fieldwork has commenced, fees are payable in proportion to work completed at the date of cancellation. Disputes regarding cancellation should be raised in writing.
9. Disclaimers
Services are provided as general business advisory and operational consulting on non-regulated activities. Sundara does not represent that any particular outcome will result from an engagement. No warranty, express or implied, is given that the deliverables will achieve a specific result for the client's business. Clients are responsible for decisions made based on advisory outputs.

10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Sundara's total liability to any client arising from an engagement is limited to the fee paid for that engagement. Sundara is not liable for indirect, consequential, or incidental losses arising from the use of advisory deliverables or website content. Nothing in these terms limits liability for fraud or gross negligence.
11. Confidentiality
Sundara treats all client information as confidential. A separate non-disclosure agreement is signed at the start of every engagement. Information shared during an engagement will not be disclosed to third parties except as required by law or with the client's written consent. Client names and engagement details will not be used in case studies or marketing materials without explicit written permission.
12. Termination
Either party may terminate an engagement by written notice if the other party materially breaches the terms of the scope document and fails to remedy the breach within 14 days of written notice. Upon termination, fees are payable in proportion to work completed. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
13. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from these terms or from an engagement will first be addressed through good-faith discussion between the parties. If not resolved within 30 days, either party may refer the matter to mediation administered by the Malaysian Mediation Centre before resorting to litigation. The courts of Malaysia have exclusive jurisdiction.
14. General Provisions
These Terms, together with any signed scope document, constitute the entire agreement between the parties for a given engagement. If any provision is found to be unenforceable, the remainder of these Terms continues in effect. Failure to enforce any provision does not constitute a waiver of that provision. Sundara may update these Terms by posting a revised version on this page with an updated date.
